Guardforce AI CEO and chair discusses expansion into healthcare AI with MGAI acquistion

we're discussing the company's recent acquisition of MGAI. MGAI is an AI part platform

operating in children's rehabilitation and behavior management. Olivia, very good to speak with you.

Hi, Stephen. Nice to see you again and have to share our progress recently.

Well, before we get into that deal itself, for viewers new to Godforce AI, could you give us a

brief overview of the business and where it's heading? Okay, Godforce AI is an AI driven technology

company. We have 43 years' history. Our legacy business had long-term relationship with clients

by using our cash management, smart retail and robotics solution. We have started our AI driven

technology journey from 2020. Now, our mission is to leverage AI to turn in the personal and professional

experience into scalable businesses. You recently announced the acquisition of MGAI, as I

mentioned. What is the company do Olivia? Oh, this company is a company who is using the AI

support the children's speech and language rehabilitation. It supports surface and the cleaning

containers to standardize assessment, training, therapy management, as well as the self-learning.

It's not a start-up. It has already passed the POC in the past three, four years and has been

proved with business model. Rear users, rear revenue already. Why MGAI Olivia? What makes the

company specifically attractive to Godforce AI? MGAI has been using their professional solution

for passions and therapies. 110,000 passions already served, 20,000 rehabilitation,

professional on platform, the users, the clinical data, the institutional relationships,

validate workflows. This allows us to scare revenue faster than building from scratch. To make

it simple, forming our AI strategy, the clients, revenue, know-how and the data for AI use

are the reasons. Why the move into healthcare Olivia, your first AI agent, TV, Go,

was in travel, why healthcare now? In Godforce AI, our strategy is to be AI agent. As productive

to infrastructure, we are creating AI super assistant for personnel and professionals to make

better decisions. In travel, we apply TV Go to structure travel knowledge as the planning,

personal experience design, as well as professional expertise service connection. The same,

for children's speech and language rehabilitation, AI helps users for testing, training,

recovery, program design, and the professional trainer's experience service connection.

TV Go and MGAI, two lines, but what strategy? Talk to us about the structure of the deal,

please. How much did you pay and how is the deal set up? Our structure of the deal is cash pass

majority equity. Last cash, we use 300,000 US dollars and five minutes years, which is a west

against performance milestone. Three million revenue for next three years has been promised by the

earner. The earner not cashed out, but long term developed together with GFAI. So if targets are not

met, most of the equity is not earned, downside limited. If targets are met, shareholder benefit

from the growth and trigger the dilution. Olivia, what gives you confidence that MGAI can deliver

on those projections? I want to say that the proven solution with AI, increasing demands,

build our confidence. The company of the demands already proves that in men and China,

they have been served 110,000 patients, 20,000 therapies already. Asian expansion, already in motion,

Taiwan, Singapore, Hong Kong partnership, already established. This market are active

investing in digital health and AI assisted care. And should investors expect more acquisitions

like this, Olivia? We all know that acquisition is a very good strategy for the campaign development.

It's also good approach for us to expanding our work, the AI deployment. So MGAI is not a

word off. Our self-developed AI infrastructure will be the foundation for the implementation

in service business. We're looking for targets like professional strategy, structured workflows,

as well as the high market demands. Acquisition is building a repeatable paybook for GFAI.

And looking ahead, what does success look like in three years, Olivia?

In the next three years, three things should be confirmed. The first, predictable recurring

AI-driven revenue across the multiple verticals. The second, the proven expansion in Asia,

the third, a repeatable model, which is recognized as a scalable AI platform, not an experiment.

So in next three years, GFAI is not a story, but a scalable AI application company.
